These Terms & Conditions govern access to and use of the HoopWise website, platform, analytics products, and related services provided by HoopWise Analytics UG (“HoopWise”, “we”, “us”, “our”). By accessing or using our website or services, you agree to these Terms.

1. Scope

These Terms apply to visitors of our website, prospective customers, and authorized users of our products and services. Additional commercial terms may apply under separate order forms, subscription agreements, or customer contracts entered into between HoopWise and a customer.

2. Services

HoopWise provides basketball analytics, software tools, reports, dashboards, visualizations, and related services for professional and commercial sports use. We may update, improve, change, suspend, or discontinue parts of the website or services from time to time.

3. Business use

Our services are intended primarily for business and professional use in the sports industry. You may use the services only for lawful internal business purposes and in accordance with any agreement you have with HoopWise.

4. Accounts

If you receive login credentials, you are responsible for maintaining their confidentiality and for activity occurring under your account. You must not share access credentials except as expressly permitted by your agreement with HoopWise.

5. Acceptable use

You may not misuse the website or services, including by attempting unauthorized access, scraping, reverse engineering, disrupting systems, introducing malicious code, or violating applicable law. You may not reproduce, resell, republish, or redistribute data, content, reports, or outputs except as expressly permitted in writing by HoopWise.

6. Third-party data

Some analytics, outputs, or features may rely on data licensed from third-party providers. Where third-party licensed data is involved, your rights are limited to the use expressly permitted by HoopWise, and you may not extract, copy, resell, or redistribute underlying raw data or other restricted source material.

7. Analytics outputs

HoopWise may provide scores, models, rankings, recommendations, visualizations, and other derived analytics outputs. Unless expressly agreed otherwise in writing, such outputs are for informational and business-support purposes only and should not be treated as guarantees, official records, or professional advice.

8. Intellectual property

HoopWise and its licensors retain all rights in the website, platform, software, branding, content, and analytics outputs, except where otherwise agreed in writing. These Terms do not transfer ownership of any intellectual property rights to you.

9. Customer materials

You retain rights in data and materials you provide to HoopWise, subject to any rights necessary for us to provide the services. You confirm that you have the right to provide such materials and that their use does not violate applicable law or third-party rights.

10. Confidentiality

If you receive non-public information about HoopWise, our platform, customers, models, pricing, or services, you must keep it confidential and use it only for the permitted business relationship. This does not apply to information that is publicly available without breach, already lawfully known, or independently developed.

11. Fees and subscriptions

Paid services are subject to the pricing, billing frequency, and payment terms set out in the applicable order form or commercial agreement. Unless otherwise stated in writing, fees are non-refundable once due and payable, except where required by law or expressly agreed.

12. Suspension and termination

We may suspend or restrict access where necessary to protect the security, integrity, availability, or lawful operation of the website or services, or where a user breaches these Terms or a commercial agreement. We may terminate access for material breach, subject to any cure period set out in the applicable agreement.

13. Disclaimer

The website and services are provided on an “as is” and “as available” basis, except to the extent otherwise agreed in writing. To the maximum extent permitted by law, HoopWise disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of liability

To the maximum extent permitted by law, HoopWise will not be liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from use of the website or services. Where liability cannot be excluded, HoopWise’s aggregate liability will be limited to the amount paid by the relevant customer to HoopWise for the applicable services during the 12 months preceding the event giving rise to the claim, unless otherwise agreed in writing.

15. Indemnity

You agree to indemnify and hold HoopWise harmless from third-party claims arising from your unlawful use of the services, your breach of these Terms, or your misuse or unauthorized redistribution of data, content, or analytics outputs. This section should be supplemented by your customer agreement where applicable.

16. Privacy

Our processing of personal data is described in our Privacy Policy. By using the website or services, you acknowledge that such policy applies to relevant personal data processing.

17. Governing law

These Terms are governed by the law specified in the applicable customer agreement or, if no such agreement exists, the law of the Federal Republic of Germany, excluding conflict-of-law principles. The courts having jurisdiction at our registered seat shall have exclusive jurisdiction, unless mandatory law provides otherwise.

18. Changes

We may update these Terms from time to time by publishing a revised version on this page. Continued use of the website or services after an update becomes effective constitutes acceptance of the revised Terms.
